These Terms of Use (the "Terms") govern your access to and use of the websites, applications, and services provided by 3D Pro Sales ("3D Pro Sales," "we," "us," or "our"), including our 3D building configurator, customer relationship management platform, quoting, ordering, invoicing, messaging, and reporting tools (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. The Services
3D Pro Sales provides software for metal building dealers and manufacturers, including an online 3D building design and pricing tool and a sales management platform. Building designs, renderings, and prices generated by the Services are estimates provided for convenience and are subject to confirmation in a written quote, contract, or invoice. Final specifications, engineering, certification, pricing, taxes, fees, delivery, and installation terms are determined by the applicable dealer, manufacturer, or seller — not by 3D Pro Sales — unless expressly stated otherwise in a signed agreement.
2. Accounts
Some features require an account. You agree to provide accurate information, keep your credentials confidential, and remain responsible for all activity under your account. You must notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
3. Acceptable Use
You agree not to: (a) use the Services in violation of any law or regulation, including telemarketing, text-messaging (TCPA), and anti-spam (CAN-SPAM) laws; (b) upload malicious code or attempt to gain unauthorized access to the Services or their systems; (c) copy, scrape, resell, or reverse engineer the Services except as permitted by law; (d) use the Services to send unlawful, deceptive, or unsolicited communications; or (e) infringe the intellectual property or privacy rights of others.
4. Customer Content and Data
You retain all rights to the content and data you submit to the Services, including price sheets, catalogs, contacts, leads, designs, and business records ("Customer Content"). You grant us a limited license to host, process, and display Customer Content solely to provide and improve the Services. You are responsible for having the necessary rights to the Customer Content you upload, including manufacturer price sheets, and for obtaining any consents required to contact the individuals whose information you store in the platform.
5. Communications Features
The Services may enable you to send emails, SMS/text messages, and other communications to your customers and leads. You are solely responsible for the content of your communications and for compliance with applicable laws, including obtaining any required consent before sending marketing messages and honoring opt-out requests.
6. Fees and Payment
Paid features are billed as described in your order form or subscription agreement. Except where required by law or expressly stated, fees are non-refundable. We may change pricing with reasonable advance notice effective at your next renewal.
7. Intellectual Property
The Services, including software, design, text, graphics, logos, and trademarks (excluding Customer Content), are owned by 3D Pro Sales or its licensors and are protected by intellectual property laws. No rights are granted except as expressly set out in these Terms.
8. Third-Party Services
The Services may interoperate with third-party products (for example, email providers, SMS carriers, payment processors, and advertising platforms). Your use of third-party products is governed by their own terms, and we are not responsible for them.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT PRICES, RENDERINGS, OR ESTIMATES GENERATED BY THE SERVICES WILL BE ACCURATE OR COMPLETE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 3D PRO SALES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless 3D Pro Sales from claims arising out of your Customer Content, your communications sent through the Services, or your violation of these Terms or applicable law.
12. Termination
You may stop using the Services at any time. We may suspend or terminate the Services for material breach of these Terms. Upon termination, your right to use the Services ends; provisions that by their nature should survive (including Sections 4, 7, and 9–11) will survive.
13. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in North Carolina.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use of the Services after changes take effect constitutes acceptance.
